Definitions
Used 
- “Service Provider”, “We”
or “Us” refer to Hills Creative Arts Pte Ltd.
- “Service” refers to TAXI,
the online design portfolio directory owned by Hills Creative
Arts Pte Ltd.
- “End-user”, “You”
or “Your” refers to the submitting front-end
user.
- “Account” refers to the
TAXI account registered under the name of the End
User.
- “Site” refers to any
web site registered and owned by Hills Creative Arts Pte
Ltd. This includes, but is not limited to, any residing
pages on http://www.hillscreativearts.com, http://www.asterik.net
and http://www.designtaxi.com
General
Provisions 
The following Terms and Conditions are applicable to all information and
properties submitted, used and other transactions between Hills Creative
Arts Pte Ltd and the submitting End-user. Other conflicting terms and
conditions with those stated within this agreement shall be regarded as
invalid unless approved by the Service Provider in official writing.
By proceeding the registration wizard, you warrant
that you are agreeable to all the terms and conditions set
forth and that all the information you have submitted is true
and accurate. Also, by registering an TAXI account,
you enter into a contract of registration with the Service
Provider. If you do not agree to any terms and conditions
set within, please do not use our web site or service.
Registration
of Accounts 
- The End-user agrees that any registration
of Account under the Service Provider should be carried
out with sole intent of self-promotional purposes. Unless
authorized with written permission by the Service Provider,
there should be no third-party representatives allowed to
register any Account or Service provided by the Service
Provider. In the event of this happening, it will be regarded
and legally treated as cases of impersonation, fraud or
similar.
- To prevent unauthorized intrusion
of illegal users, End-users are encouraged to complete the
registration wizard within a maximum duration of 20 minutes.
The registration process has been 128-bits SSL secured,
but the Service Provider does not warrant against any unauthorized
interception of illegal third parties. These include, but
are not limited to, hackers, ‘spam robots’ and
web ‘spiders’.
- The User ID and Password will be
automatically generated and sent to the End-user via the
provided email address. You are advised to check your email,
print out the reference email and delete it off immediately
to prevent any illegal access to your account before, during
and after the registration process. The End-user, and NOT
The Service Provider, will be held responsible in cases
of loss and damages in the event of such happening.
- End-users are also advised to log
out of their account immediately after required use of account.
- For offline corporate account registration,
an additional service charge of US$15.00 will be charged
to the corporate account. Users are also warned of unexpected
delay that may arise due to any inefficiency caused by the
postage and courier services. The Service Provider does
not warrant receipt of the delivered documents and properties,
including but not limited to portfolio works, due to cases
of inconsistency in delivery services, human errors and
custom regulations. The application documents and properties
shall be shipped at the expense and risk of the End-user.
The Service Provider does not hold any responsibility to
states of conditions of articles before, during and after
delivery.
- End-users who wish to register offline
will have to make sure all required documents (including
crossed cheque payments) have been submitted and any failure
to do that, the Service Provider will return the documents
upon payment of express courier service by the End-user.
Should payment remains outstanding for more than 30 days
from the day of receipt, the Service Provider will dispose
of the documents without notification of the End-user.
- Posted articles will only be returned
on request after payment of US$35.00 for express courier
service has been settled. The End-user should allow up to
ten (10) working days for the articles to be delivered.
The Service Provider does not hold any responsibility to
states of conditions of articles before, during and after
delivery.
Terms
of Payment 
- The registration rates stated on the
TAXI web site is subject
to increase on a quarterly basis. Current prices and rates are
binding and will not be increased during the period of continuance
of the contract.
- Payment is due immediately on receipt
of invoice. The End-user shall be in default if he fails to
settle payment within a maximum of 30 days after date of invoice
issued.
- Preferred mode of payment is credit
card transactions, namely VISA and MASTERCARD, carried out online
by WORLDPAY. The Service Provider will not be held liable for
any loss caused by technical errors or faults over at WORLDPAY.
Please also note that Hills Creative Arts Pte Ltd and WORLDPAY
Ltd are two different companies and they do not represent each
other in any way. If you encounter any difficulties during the

The End-user shall have no recourse
to the remedies to the remedies of withholding or offsetting
payment or the defence of non-performance unless the End-user’s
counterclaims have been established by process of law or are
undisputed or are acknowledged by the Service Provider.

Timely payment is a compulsory condition
set for account registration. This includes offline registration.
Payment of crossed cheque (made out to HILLS CREATIVE ARTS
PTE LTD in US Dollars) for offline registration should be

Responsibilites 
By using this web site or by proceeding the TAXI registration
wizard, you agree that you will not:
- commit or encourage
a criminal offence;
- send proactively,
receive, upload, download, use or re-use any information or material
which is offensive, abusive, indecent, defamatory, obscene or menacing,
or in breach of confidence, copyright, privacy or any other rights;
- do anything which
is contrary to the acceptable use policies of any connected networks
and Internet standards;
- insert or knowingly
or recklessly transmit or distribute a virus;
- seek unauthorized
entry into back office;
- hack into any
aspect of the Service;
- corrupt data;
- circumvent, or
attempt to seek to circumvent, any of the security safeguards of the
Service Provider;
- use the Service
to cause annoyance, inconvenience or needless anxiety to End-users or
front-end viewers or others;
- send or provide
any unsolicited advertising or other promotional material, commonly
referred to as "spam" by email or by any other electronic
means; or
- send email or
any other type of electronic message with the intention or result of
affecting the performance or functionality of any computer facilities;
- hold the Service
Provider liable in relation to the accuracy, reliability, availability
and performance of resources accessed through the Internet which, you
acknowledge, are beyond their control and are not in any way warranted
or supported by the Service Provider;
- use the service
other than for your personal use, and you acknowledge that the Service
Provider shall not in any way whatsoever be liable to you or to any
third party for any business losses (including without limitation any
loss of profits, business or anticipated savings or for any destruction
of data) suffered in any way whatsoever by you or any third party;
- use the Service
in a way that does not comply with the terms of any legislation or any
license applicable to you or that is in any way unlawful;
- use any software
application, device or other service to maintain a connection to the
Service even though you are not actively using the Service;
- access your user
account from more than one computer simultaneously;
- use the Service
in any way, which, in the Service Provider's opinion, is, or is likely
to be, detrimental to the provision of the Service to any other users.
This includes, but is not limited to, running any application or program
that places excessive bandwidth demands on the Service;
- employ a misleading
email address or name or falsify information in the header, footer,
return path or any part of any communication, including without limitation
any email transmitted through the Service;
- directly or indirectly
act or omit to act in any way which may infringe, damage, or endanger
any intellectual property rights (or any goodwill attaching thereto)
which may now or in the future subsist in any part of the world of us
or any third party;
- impersonate any
person or entity or falsely state or otherwise misrepresent your affiliation
with a person or entity;
- permit any third
party to do any of the above.
The Service Provider does not warrant and will not
be held liable against any failure of achievements of expectations
set by the end-user, in terms of reach, circulation and frequency.
Results may be subjected to external conditions such as quality
of submitted content and user preference. In event of dissatisfaction,
end-users may contact us for further discussion.
Property
Rights 
- Intellectual property rights in all
software and the Site (including the design, text, graphics,
and any other material appearing on the Site) supplied to you
remains the property of the Service Provider or its licensor
or other content owner. You will comply with the terms of any
agreement required by the owner of intellectual property rights
in all software and content supplied to you as notified to you.
You may store, manipulate, analyze, reformat, print and display
the content supplied solely for your own personal use.
- Publishing, re-transmission, re-distribution
or reproduction of any of the content supplied to you or which
appears on the Site in any format is forbidden and you are prohibited
from using any such content in connection with any business
or commercial enterprise.
- The Service Provider reserve all rights
to remove and delete accounts that it believes infringes property
rights. These include, but are not limited to, trademarks, patents,
and copyrights. Should you believe information and content owned
by you has been copied or misused by other End-users on the
Site, please write to [email protected].
- The Service Provider must also be notified
if any submitted information or portfolio works is subject to
legal proceedings.
- The End-user, and NOT the Service Provider,
shall be liable for any damages arising from the infringement
of property rights. This includes, but is not limited to, claims
of third parties.
Third
Parties 
- Links to third parties and their
content, including hypertext links, from the Site to other
external web sites, resources, advertisements or sponsorships,
either directly or indirectly through the contractual partners,
are not under our control. Information contained on the
Site which has been provided by third parties and/or information
on any other website which is accessed via the Site has
not been independently verified by the Service Provider.
- The Service Provider accepts no
responsibility for these links and do not endorse their
contents and we shall have no liability to you for any failure
on the part of the operator of the linked site or any of
its suppliers to fulfill any obligation owed to you or for
any defective or deficient product or service any of them
might supply to you.
- The Service Provider will not be
responsible for any loss or damage suffered as a result
for any dispute that occurs between the End-user and any
third party due to use of the Site.
- The Service Provider also do not
represent or guarantee the validity, reliability and accuracy
of information and content that appears on any third-parties’
web sites.
- If you decide to visit these third-party
web sites, you agree to do it at your own risk.
Termination 
- The End-user shall not terminate
the Service until the expiry of the subscribed duration
of service.
- In the event when a need of termination
arises, the Service Provider may terminate the service any
time, with appropriate notification to the End-user.
- If the End-user wishes to change
account plans or duration after confirmation, the End-user
shall give written notice to the Service Provider. There
will also be a service charge of 20% for such requests.

- Alteration of account information
can be accessed by End-user via the login page, but change
of account plans have to be done manually by the service
provider. Change will take place immediately after service
charge of 20% has been paid.
Final
Provisions 
The End-user shall be bound by and shall fully observe and
comply with all the General Terms as well as such other terms
and conditions as may be agreed or accepted by the End-user.
The Service Provider reserves all rights to alter the terms
and conditions set within this agreement any time, with an
announcement of change on TAXI main page.
